Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and the business you represent (“you,” “Customer”) and Figment Imaginative, which operates CoveCall (“CoveCall,” “we,” “us”). They govern your access to and use of CoveCall's websites, applications, and services (the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1.Definitions

“Customer Data” means data you or your callers submit to or generate through the Service, including call audio, transcripts, summaries, phone numbers, and business configuration. “Personal Data,” “Controller,” and “Processor” have the meanings in our Data Processing Addendum. “Documentation” means our published guides and help materials.

2.Eligibility and authority

You must be at least 18 and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.

3.The Service

CoveCall provides AI-powered call answering, screening, scheduling, messaging, and notification features for businesses. Features, limits, and included usage vary by plan and may change as the Service evolves. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms.

4.Accounts and security

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account, including your team members' use, and for maintaining the confidentiality of your login and any connected numbers or calendars.

You must be authorized to connect any phone number, calendar, or other account you add to the Service, and to notify us promptly of any unauthorized use.

5.Electronic communications and consent

You consent to receive communications from us electronically — including agreements, notices, and disclosures — and agree that electronic delivery satisfies any legal requirement that such communications be in writing. You also consent to receive service, security, and transactional messages by email and SMS at the contact details you provide.

6.Customer Data and ownership

As between the parties, you retain all rights in your Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service and as permitted by our Privacy Policy and Data Processing Addendum.

You are responsible for the accuracy and legality of Customer Data and for having all rights and consents needed for us to process it.

7.Acceptable use

You agree not to use the Service for any unlawful, deceptive, infringing, or harmful purpose, and to comply with our Acceptable Use Policy, which is incorporated into these Terms. We may throttle, suspend, or terminate use that violates it.

8.Telephony and messaging compliance

You are solely responsible for complying with all laws applicable to your calls and messages, including the U.S. Telephone Consumer Protection Act (TCPA), Do-Not-Call rules, state and federal call-recording/consent laws, and laws requiring disclosure that a caller is interacting with an automated or AI system.

You are responsible for obtaining all required consents from your callers and message recipients, for configuring any required recording or AI-disclosure notice in your agent's greeting, and for the content of messages sent through the Service. CoveCall is a tool that acts on your instructions and does not provide legal advice about these requirements.

9.Plans, billing, trials, and taxes

Paid plans are billed monthly in advance via Stripe and include a bundle of AI-handled minutes; usage above your bundle is billed per minute (“overage”). Telephony and carrier fees are billed at or near cost. Prices may change on renewal with notice.

CoveCall is operated by Figment Imaginative; charges may appear on your statement as “Figment Web Services.”

Free trials convert to paid unless cancelled before the trial ends. Except where required by law, fees are non-refundable and are exclusive of taxes; you are responsible for applicable taxes other than taxes on our net income. Undisputed overdue amounts may accrue interest and lead to suspension.

10.Third-party services

The Service integrates third-party services (for example, telephony, payments, calendar, and AI providers) and may link to third-party websites. Your use of those services is governed by their terms, and we are not responsible for them. A list of our subprocessors is available on our Subprocessors page.

11.Intellectual property and feedback

The Service, including all software, models, prompts, designs, and content we provide (excluding Customer Data), is owned by CoveCall and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

12.Beta and preview features

We may offer features labeled beta, preview, or experimental. They are provided “as is,” may change or be withdrawn, and are excluded from any service commitments and warranties.

13.AI output and your responsibility

The Service uses AI to generate speech, summaries, and actions that can be inaccurate or incomplete. It does not provide professional advice, and it is not a substitute for human judgment. You are responsible for reviewing flagged and escalated calls and for decisions you make based on the Service. Do not rely on the Service for emergencies; it is not a substitute for 911 or emergency services.

14.Service availability and changes

We aim for high availability but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features, and perform maintenance, and will use reasonable efforts to give notice of material adverse changes.

15.Suspension

We may suspend your access, in whole or in part, if we reasonably believe your use poses a security, legal, or operational risk, violates these Terms or the Acceptable Use Policy, or if your account is overdue. Where practical, we will give notice and an opportunity to cure.

16.Term and termination

These Terms apply while you use the Service. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. We may suspend or terminate accounts that materially breach these Terms.

Upon termination, your right to use the Service ends. We will make Customer Data available for export for a limited period (typically 30 days), after which we may delete it, subject to legal retention requirements. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) survive termination.

17.Disclaimer of warranties

Except as expressly stated, the Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, and we do not warrant that the Service will be uninterrupted, secure, or error-free or that AI output will be accurate.

18.Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising out of or relating to the Service, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the 12 months before the event giving rise to the claim. CoveCall is not liable for missed calls, business decisions, or outcomes resulting from AI-generated content. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

19.Indemnification

You will defend, indemnify, and hold harmless CoveCall and Figment Imaginative and their officers, employees, and agents from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, your calls and messages, or your violation of these Terms, the Acceptable Use Policy, or any law — including telephony, consent, and recording laws such as the TCPA.

20.Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Before filing a claim, the parties will try in good faith to resolve any dispute informally by contacting legal@covecall.com. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Georgia, and each party consents to their jurisdiction, except where applicable law provides otherwise. Any claim must be brought within one year after it arises, to the extent permitted by law.

21.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you and update the “Last updated” date above. Your continued use of the Service after an update means you accept the revised Terms.

22.General

You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or asset sale. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure). If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, DPA, and Acceptable Use Policy, are the entire agreement between the parties regarding the Service and supersede prior agreements. The parties are independent contractors. Notices to you may be given in-app or by email; notices to us should go to legal@covecall.com.
